I. Employment Status

This is to confirm that you are an independent contractor for all services rendered by you to Indian Translators. You understand that you are NOT a Indian Translators employee, and you agree that:

1. I will not sub-contract out the work to another vendor/individual unless Indian Translators has agreed to it.
2. I am responsible for all the products and services provided by me, or the company I am representing.
3. The company will NOT withhold any taxes from my fees.
4. The company will report my gross fees as required by Central, State and Local law and that, therefore, I am responsible for all applicable taxes on my gross fees (applicable only to those subject to Indian taxes).
5. I have all applicable stationary, business cards, and other requirements of functioning in this capacity.
6. I will NOT be covered under any of Indian Translators insurance policies (including/but not limited to: Disability, Workers’ Compensation, Unemployment etc.)
7. The company may terminate the use of my service at any time without cause and without further obligation, except for payment due for services prior to the date of termination.
8. By providing services to Indian Translators, I am not violating any agreement between myself and another third party.
9. After I have accepted the work, I will not demand any advance other than agreed before hand or any payment before the end of 30 day period from the day of submitting the work, from Indian Translators.
10. I will return the work till the deadline accepted for the work by me and shall not return the work undone. In case I don’t meet my commitments Indian Translators has full right to withhold and/or reduce any payment due to me without any prior notice.

II. Services

1. I agree to provide services in accordance to the company’s specifications, to complete all assignments previously accepted by me and have my work reviewed by Indian Translators and/or an independent third party. If it is determined that I have returned sub-standard or incomplete work, Indian Translators has the right to withhold and/or reduce payment.
2. I understand that during an assignment I shall report to an Indian Translators representative and provide summaries of my services upon reasonable request.
3. I will submit all work that has been completed for the day, by 9 P.M. via email or in person to a representative of Indian Translators.
4. I will save my work after every 15 minutes and keep a hard copy and two soft copies on separate computers or diskettes to avoid any loss of work done. I am responsible for any loss of work due to my negligence, power failure or any other cause.

III. Confidentiality and Ownership

1. Confidentiality is essential in the daily operation of business at Indian Translators. Freelance linguists should not discuss the rates they are receiving with representatives from any organization other than Indian Translators.
2. I understand that I will be exposed and have access in the course of your services, to sensitive and confidential matters, and I am required to maintain strict confidentiality over all products, designs and matters which come to my attention through this office directly or indirectly. I agree that I shall not, during or at any time following the execution of this Agreement, use or disclose in any manner any Indian Translators confidential information.
3. I agree that all company and client information is the property of Indian Translators and that it is against Indian Translators' policy and a violation of this agreement to attempt to contact directly any client, to whom I was referred by Indian Translators, without prior written consent from the Indian Translators's management. I agree not to induce or attempt to influence, directly or indirectly, any employee of Indian Translators to terminate his/her employment and work for me or any other person. This is applicable both during and after leaving this engagement.
4. To the extent any inventions, technologies, reports, memoranda, studies, writings, exhibits or other materials prepared by me in the performance of services for Indian Translators include material subject to copyright protection, such materials have been specially commissioned by Indian Translators and they shall be deemed "work for hire". To the extent any such materials do not qualify as "work for hire" under applicable law, and to the extent they include material subject to copyright, patent, trade secret, or other proprietary rights protection, I hereby assign to Indian Translators all right, title, and interest in and to all such materials. To the extent I have any rights in the same I hereby waive all enforcement of such rights.
5. A linguist should understand that violation of this confidentiality agreement will result in disciplinary action which may include legal ramifications as well. If at any time you witness an employee or another freelance linguist discussing confidential material, please report the matter to us at Indian Translators.

IV. Miscellaneous

This Agreement is governed by the laws of the state of Delhi, India only and reflects the entire understanding between the parties and may only be modified in writing. This contract will be in full effect from the date it is signed and/or when a linguist accepts it while filling our form at website and will remain in effect for 2 years after your last preformed service for Indian Translators.

Indian Translators is under no obligation to offer you particular projects or assignments, and you are under no obligation to accept particular projects or assignments. In the event of a dispute, both parties agree to submit it to binding arbitration in New Delhi City. Legal costs shall be paid as determined by the arbitrator.

Consent to Agreement

By using our Web site, you consent to the collection and use of information by Indian Translators as specified Privacy Policy and you agree that you understand and abide the terms & conditions and consequences of all agreements for Clients and Linguists.
